Swee Gim heads the corporate and commercial department with its various corporate practice groups. She is also the partner-in-charge of the's mergers and acquisition division, and oversees specific work assignments undertaken by the firm's Myanmar, Cambodian and Vietnam offices.
Her extensive knowledge of local and regional corporate, commercial and business laws, positions her to effectively represent the firm's clients in the corporate arena. Her expertise covers investments and commercial businesses undertaken in Singapore, Vietnam, Myanmar, Cambodia, Indonesia, Malaysia, the Philippines, and other Southeast Asian countries. Multinationals and public listed companies have sought her legal advice in commercial projects which are characterized by legal complexities requiring both legal skills and in-depth understanding of the clients's business needs and requirements. She has spearheaded numerous project teams in time-sensitive legal due diligence investigations and managed multi-jurisdictional acquisition and investment transactions.
With more than 22 years of legal practice, Swee Gim has accumulated a substantial portfolio of professional work. These include mergers and acquisitions, de-mergers, joint ventures, investments, corporate reorganizations and restructurings, private equity funds, equity and capital planning, debt restructuring, financing and banking transactions, securitizations and sale and purchase of businesses and undertakings. She has also drafted, reviewed and provided legal counsel on a myriad of commercial contracts and corporate issues.
Swee Gim is also well-versed in commercial transactions where information technology plays a fundamental role. Her degree from New York University is in intellectual property studies. She has worked on technically complex agreements in the areas of trade secrets, confidential information, technological transfers and technical assistance, hardware and software licensing, source code sale, franchising, licensing, copyright assignment, ownership and proprietorship, confidentiality and non-disclosure agreements, computer turnkey contracts, electronic banking, electronic commerce transactions, web-site and portal development, web hosting, portal and other internet-related transactions. She further has experience in advising on telecommunication and media law issues and preparing and reviewing contracts for clients involved in the telecommunication, media and internet industries.
