Andrew has more than 11 years of post-qualification experience, out of which more than eight years were spent with major law firms in Singapore and three years were spent with Baker & McKenzie in Hong Kong. He is qualified to practise in Singapore, Hong Kong and England & Wales.
In Singapore, Andrew's practice has focused on mergers and acquisitions, corporate finance and listed company work. He has extensive experience in significant mergers and acquisitions transactions, having acted for both listed and unlisted purchasers and vendors in local and cross-border acquisitions involving shares and businesses/assets. He has also acted for clients in fund raising activities in the capital markets involving the issue of shares, preference shares, warrants and other convertibles and debt securities, including by way of private placements and rights issues. He has also frequently advised Singapore-listed companies on compliance issues, both generally as well as particularly in the context of mergers and acquisitions and corporate finance transactions. He is familiar with the Singapore listing rules and has also acted as company secretary of a Singapore-listed company.
In Hong Kong, Andrew's practice had focused on mergers and acquisitions, general corporate/commercial work as well as financial services advisory work. He has worked on significant mergers and acquisitions transactions, including the acquisition and disposal of banks in competitive bids, as well as venture capital investment in PRC companies and businesses. His general corporate/commercial work experience included drafting, reviewing and/or advising on commercial agreements, such as those relating to sale and purchase of goods and services and employment. He has also advised Hong Kong and international securities brokers and banks on the establishment of on-line trading operations in Hong Kong, as well as various securities regulatory and related issues, including structuring of operations to comply with licensing and other regulatory requirements in Hong Kong.
